The Foreigner's Guide to Owning an American Business
The USA features one of the largest and most prestigious markets in the world today. The Internet has opened up incalculable income opportunities for the small businessperson worldwide. There is a growing list of individuals living in foreign lands that strongly desire to own an American business, tapping into this vast marketplace, while continuing to live in their homeland. This article will briefly touch on the subject of how you can setup and operate a business in the USA while living in a foreign land.
Why would you want to own an American business?
Generally, Americans prefer doing business with American companies because they expect American quality and have legal recourse if the company doesn't deliver on their product or service as promised. This may not be true when they make a purchase from a foreign business. If you market your goods through your American business, you can overcome this limitation.
The American buyer needs to have confidence in a company they wish to make a purchase from and image is of paramount importance. You may live in a foreign land, but if your business has its address, bank account, and phone number in the USA, you have already laid substantial credibility to your company. Also, American suppliers may be more cooperative with your company in America than overseas.
Overcoming demographic issues
It may seem overwhelming to you when considering the idea of setting up your own American company. Actually, most steps are rather simple and it isn't too difficult to find qualified services and consultants that can walk you step-by-step through the complete process for a reasonable startup fee.
Meeting legal requirements
It isn't a requirement to be an American citizen or even live in the USA to own a company here. You can hire agents to setup your corporation or LLC (Limited Liability Company) for you for less than $700 (US Dollars), and maintain your own business address with receptionist for about $200 - $300 per month. Your phone number will cost about $30 per month. Business licenses are low cost and renewed annually. Your company will be required to obtain an Employer's I.D. from the U.S. Internal revenue Service (IRS) since it must pay taxes it earns. If you setup your company in the state of Nevada, Delaware, or Wyoming, you won't have any state corporation or personal state income taxes.
One problem that faces a foreigner establishing an American business is the establishment of a business bank account in their state of business. It's important for the corporation to have a bank account in its home state (the state of its incorporation). This is one of the tests to validate that the business is legal.
Most banks here require the business owner to open their bank checking account in person. The individual that is authorized to sign checks on the account must sign the required bank signatory card in person. Normally, this requirement would necessitate a trip to the USA by the foreign business owner. But, there are creative ways to circumvent this issue. Some small Internet companies even utilize their PayPal Premier Business Account to handle many international sales payments, though a bank checking account is still necessary.
There are various legal structures for American companies, but you will likely use either the "C" corporation or LLC (Limited Liability Company) structure. The "S" corporation structure isn't available to nonresident corporate owners. The service or consultant you select to assist you in setting up your new business will help you understand what you need so you can make an intelligent decision as to the best way to proceed.
Once your business is established, it isn't to difficult to maintain its legal status. Don't be overwhelmed with this process. It's more than worth the effort to establish your own business in the USA. It can open many business opportunities that simply are not available to nonresident businesses. Even many established and successful companies like Sony, Mitsubishi, Panasonic, Honda, and Hitachi have opened up American branches and businesses for these reasons. Mozes otvoriti firmu i za manje od $700

Godisnji troskovi za registrovanog agenta variraju, DelawareInc.com je $50 godisnje. Neke drzave imaju i dodatne namete za drustva sa ogranicenom odgovornoscu (LLC) - Delaware: $250 godisnje, sto znaci ~$300 godisnjih administrativnih troskova. Sa druge strane Delaware je vrlo popularan zbog specificnih zakona, tj. predstavlja "raj" za firme.
Na ovo treba dodati naravno i troskove otvaranja bankovnog racuna ako zelite USA racun i mogucnost koriscenja PayPal-a za procesiranje kartica (za bankovni racun vam treba EIN iliti 'Employer Identification Number' ako nemate SSN kao sto vecina ljudi koji ne rade/ne zive u USA nemaju, a slanje istog obicno naplacuju od $50 do $100) kao i eventualni mail-forwarding za korespodenciju (cene variraju, oko $180 godisnje kosta prepaid forwarding 15-tak pisama + naravno USA adresa)
U principu - $450 za otvaranje (ovo bi moglo biti i dosta manje ako imate nekog u USA da uradi incorporation za vas) + ~$500/godisnje resava vecinu osnovnih stvari (mail forwarding sa adresom firme u USA, skype USA broj telefona, fransizni tax kao i troskovi registrovanog agenta)
Sto se bankovnog racuna tice, od kraja 2001-ve godine jako je tesko otvoriti bankovni racun bez da odete tamo i to zavrsite - ne kazem da je nemoguce, mozda postoji neki nacin ali je malo verovatno da to uvek uspeva a postoji i gomila sema gde to neko uradi za vas online cega se treba KLONITI jer taj neko fakticki ima podatke o vasem racunu. Tako da, ako zelite USA racun, na to morate da odvojite nekoliko dana i odete tamo, sto znaci bar jos nekoliko stotina $ za troskove puta. Opet, Delaware je najlaksi za to jer u mnogim drugim drzavama hoce da izvoljevaju - tipa u NY traze tzv. "site inspection" za firmine racune sto, ako nemate "site", nece proci :-)
Sve u svemu, to su relativno mali troskovi.
Naravno, ako planirate nekog da zaposlite u USA, to onda postaje druga stvar - i troskovi, naravno, bivaju veci.

Tj. cela procedura je relativno prosta, cisto ako neko zeli - da mu ne uzimaju pare oni koji "sredjuju":
1. Odlucite se za tip firme (drustvo sa ogranicenom odgovornoscu "LLC" ili korporacija "Inc")
2. Odlucite se u kojoj USA drzavi zelite da otvorite firmu
Za 1 i 2 je potrebno procitati tj. obrazovati se o razlikama izmedju LLC-a i korporacije, o tome postoji dosta materijala online. Ovo je jako bitna odluka jer ce uticati na oporezivanje i samu organizaciju firme. Ista stvar vazi i za lokaciju - mada je ovo u poslednje vreme manje bitno - opet, neke drzave imaju povoljnije uslove od drugih. Delaware i Nevada spadaju u popularnije, opet - razlozi zasto je to tako se mogu procitati online
3. Osnivanje firme zavrsavate preko online agenata (poput ona 2 cije sam linkove okacio), za ovo vam treba ili kreditna kartica ili mozete uplatiti pare preko banke "zicom" - to ce vas kostati ~$450-$500 za medjunarodnu uslugu (veliki deo ove cene je zbog toga sto je u pitanju medjunarodna usluga, ako imate nekog u USA ovo moze biti znacajno manje)
4. Za nekoliko dana do par nedelja max. ce vam stici svi dokumenti postom (potvrda o osnivanju, potvrda o registrovanom agentu kao i pecat firme...) - i vasa firma je otvorena!
5. Opciono mozete traziti i "mail forwarding" servis od vaseg agenta, mada to moze da se uradi i nezavisno od njih. Sa "mail forwarding" servisom imate "virtuelnu" adresu firme u USA koju mozete koristiti za korespodenciju.
6. OBAVEZNO ispostujte administrativne zahteve za vas tip firme. Za LLC napravite "operativni ugovor" (primeri mogu da se skinu sa neta) koji regulise poslovanje vase firme. Za korporaciju morate ispuniti vise stvari (kao sto su redovni sastanci, itd...) - obicno u materijalu koji ste dobili postom pise sve o tome. Sa ovim se ne treba igrati jer u slucaju LLC-a recimo greske mogu znaciti gubitak ogranicene odgovornosti tj. mogucnost da budete odgovorni u potpunosti. Postoji dosta materijala online kao i knjiga kako treba voditi posao/knjige za oba tipa pravnog lica - poslusajte savet, i ulozite vreme na razumevanje tih zahteva.
Sledece stvari su potrebne za bankovni racun:
7. Ako zelite USA bankovni racun, odmah posle placanja osnivanja trazite od vaseg agenta da vam posalje "EIN" (Employer Identifcation Number) kao i potvrdu od USA drzave da vam je firma "In Good Standing" (dokaz da ne dugujete nikakve pare drzavi za porez) . Ako ste se odlucili za LLC, i ziveli ste/radite u USA, vas SSN moze sluziti umesto EIN-a. Za korporaciju to mora biti EIN.
8. Ako vam treba viza za ulaz u USA, izvadite USA vizu (za turisticke i poslovne posete B1/B2 tip) i kupite neku jeftinu avio kartu do NYC-a ilI Vasingtona ako ste otvorili firmu u Delaware-u (za Nevadu, jasno, karta treba da bude do Las Vegas-a). Na put ponesite kompletnu dokumentaciju o osnivanju firme + EIN + potvrdu o "good standing" od drzave
9. Ako vam je firma registrovana u Delaware-u, iz NYC-a / Vasingtona sednete na voz do Delaware-a, tamo otvorite bankovni racun za 15-tak minuta uz dokumentaciju koja potvrdjuje da ste vi vlasnik + sve ostalo... tu prenocite, i sutra lepo nazad.. Kao adresu za dostavu bankovne kartice koristite "mail forwarding" adresu ako ste je zakupili. Ovde je jasno da ce vam trebati "mail forwarding" adresa jer kartica mora imati adresu na sebi.
10. Za nekoliko nedelja vam stize kartica na kucnu adresu (potrebno je malo vise vremena jer ce prvo stici na vasu firminu adresu, a onda ce biti prosledjena vama) - sa ovom karticom i podacima iz banke mozete otvoriti PayPal Business nalog u USA, i njega koristiti za online primanje kreditnih kartica...
Eto, to bi bilo to... nista specijalno komplikovano, i sve se da zavrsiti za ~$1000-$1500 sa sve avionskom kartom i hotelom (u slucaju da zelite racun, bez racuna samo osnivanje firme moze da se zavrsi za $450-$500 u slucaju da ne zelite da idete tamo uopste).
Tokom godine, u zavisnosti od tipa firme, imate neke obaveze - oba tipa imaju obavezu prijavljivanja poreza ako ste napravili profit (opet, forme se razlikuju u zavisnosti od tipa firme) + korporacije imaju dodatne zahteve u vidu obaveznih sastanaka borda direktora, itd... opet - za pocetak, osnovnu informaciju o zahtevima cete dobiti sa dokumentima o osnivanju (ako koristite online agenta i "international" uslugu) a savetujem i produbljivanje znanja koriscenjem literature.
Naravno, umesto svega ovoga mozete i platiti nekog da vam osnuje firmu, kao i zaposliti ovlascenog knjigovodju / direktora - i onda necete morati brinuti o ovim stvarima :)

Ali ti otvaranje bilo kog oblika firme (od gore navedenih) ne obezbedjuje radnu i boravisnu vizu, a sto je tvrdio postavljac teme u jednoj diskusiji.
Za postavljaca teme imam savet da lepo proveri dali ima taksa za isticanje firme, da mu se ne dese problemi ko u Srbiji, pa da posle mora da zatvara firmu.

Radna viza i ne treba, kad je sada avio karta toliko jeftina, moze se otic u Ameriku, zakljuciti posao, i vratit se nazad i uraditi.

dali moze firma iz deleware da otvori agenciju (turisticki taxi) u srbiju sa autobusi na strane tablice (europske) bez euro3
